prospectus
   A document that describes a proposal; more specifically, a document that is issued to prospective shareholders by a corporation that intends to make a public issue of shares. The prospectus provides details of the corporation's past and present performance, and of its prospects. A prospectus includes details on the financial position, the officers, the plans, any contingent obligations (e.g., lawsuits), and other information about the corporation so that potential investors or advisers can evaluate it. The Federal Securities Act requires that a prospectus be filed with the Securities and Exchange Commission (SEC) and that the SEC grant approval before any major share issue occurs. State laws generally require similar documentation.
